Corporate Governance



The Board of Trustees is the governing and representative body of the Foundation, responsible for the compliance of the founding missions and the administration of goods and rights which represent the assets of the Foundation, preserving the yield and use of such.

The roles of the members of the Board of Trustees, and their functions, are as follows:

Chairman

Represent the Foundation before all type of people, authorities, and public or private entities, officially call Board of Trustees meetings, manage discussions and, when necessary, execute agreements, being empowered to carry out all necessary actions and sign all necessary documents to execute agreements.

Secretary

Responsible for the certification of Board of Trustees agreements, the custody of all Foundation documentation, writing Board meeting reports, issuance of all necessary certificates, and any other as mandated by the Board.

Trustees

Govern and represent the Foundation, and approve management and periodic action plans. Interpret and develop the statutes and, when necessary, agree on their amendment, as long as this is convenient to the interests of the Foundation and the fulfilment of its missions. Determine the guidelines regarding the distribution and application of available funds. Nominate especial or general empowered officials. Select the beneficiaries of the Foundation’s activities. Approve the action plan and the financial accounts to be submitted to the Protectorate. Agree on the opening and closing of its delegations. Agree on the extinction or merging of the Foundation in case of incapacity to comply with its objectives.
